Mutual Non-Disclosure Agreement

Version October 2026

This is a two-way agreement: each side keeps the other's information private and uses it only to discuss and carry out the Purpose.

Bicester 3D: RODA Technology Ltd, trading as Bicester 3D, company number 13582763, registered office 9 Anniversary Avenue East, Bicester, OX25 2EF.

The Client: the company named in the form below.

Purpose: Quoting for, and making, 3D printed parts from the Client's designs, and any related design or engineering work.

In this agreement, the side sharing information is the "Discloser" and the side receiving it is the "Recipient". Either party can be either. "the Date" is the date the Client signs.

  1. What is confidential. Confidential Information means anything the Discloser shares for the Purpose, in any form, that is marked confidential or that a reasonable person would see as confidential. It includes CAD and mesh files (STEP, STL, 3MF and similar), drawings, prototypes, physical samples, specifications, test results, product plans and business information. For Bicester 3D it also includes its pricing, quotes, print settings and production methods.
  2. What is not confidential. Information is not Confidential Information if the Recipient can show it:
    1. is or becomes public, other than through the Recipient breaking this agreement;
    2. was already lawfully known to the Recipient without a duty of confidence;
    3. was lawfully received from someone else who was free to share it; or
    4. was developed independently by the Recipient without using the Discloser's information.
  3. What the Recipient must do. The Recipient will:
    1. use the Confidential Information only for the Purpose;
    2. keep it secure, with at least the care it uses for its own confidential information;
    3. not copy it except as needed for the Purpose; and
    4. not share it with anyone except as allowed in clause 4.
  4. Who it can be shared with. The Recipient may share Confidential Information only with its employees, contractors, subcontractors and professional advisers who need it for the Purpose and are bound by confidentiality duties at least as strict as these. This includes software and cloud services the Recipient uses to quote, prepare and make the parts. The Recipient is responsible for anyone it shares with.
  5. When the law requires disclosure. The Recipient may disclose Confidential Information if required by law, a court or a regulator. Where the law allows, it will tell the Discloser first and disclose only what is required.
  6. Files and parts. Bicester 3D will not print, sell or supply parts from the Client's files to anyone other than the Client, or anyone the Client approves in writing. Bicester 3D will not post the Client's designs or parts online, or use them in marketing, without the Client's written permission.
  7. No licence or transfer of rights. All Confidential Information stays the property of the Discloser. This agreement gives no licence to any patent, design, copyright or other intellectual property, except as needed for the Purpose.
  8. General know-how. Each party may keep using its general skills and experience, including knowledge of 3D printing processes and materials, provided it does not disclose the other's Confidential Information. Nothing here stops either party working with others on similar products, so long as it does not use the other's Confidential Information.
  9. Returning or deleting information. When the Discloser asks in writing, the Recipient will promptly return or delete the Confidential Information. It may keep copies in routine backups, and copies it must keep by law or for accounting and order records (for example, files for parts already supplied). Any copies kept stay confidential under this agreement.
  10. No obligation to do business. Sharing information does not commit either party to any order or further deal. Any order is governed by Bicester 3D's standard terms, or a separate written contract, and the Client remains responsible for having the right to use the files it sends.
  11. No promises about the information. Confidential Information is shared "as is". The Discloser gives no promise that it is accurate or complete.
  12. Duration. This agreement covers information shared during the 2 years from the Date. The duties in it last for 5 years from the Date, or for as long as the information remains a trade secret, if longer.
  13. Remedies. Each party accepts that money alone may not be enough to put right a breach. The Discloser may seek an injunction or other court order as well as any other remedy.
  14. General. This is the whole agreement between the parties about confidentiality for the Purpose. Changes must be in writing and signed by both parties. No one else has rights under it under the Contracts (Rights of Third Parties) Act 1999. It may be signed electronically and in separate copies, which together form one agreement.
  15. Law and courts. This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
